    1. Agreement to Terms & About Lease24

    IMPORTANT: Please Read Carefully

    By accessing or using Lease24, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree with any part of these terms, you must not use our services.

    Definitions:

    • "Lease24", "we", "us" = Lease24 Inc., a Canadian corporation
    • "User", "you" = Any person using our services
    • "Platform" = Website, applications, and all Lease24 services
    • "Tenant" = User seeking or occupying rental housing
    • "Landlord" = Property owner or their authorized representative
    • "Property Manager" = Person managing properties on behalf of owners
    • "Listing" = Rental property advertisement on our platform
    • "Vendor" / "Service Provider" = Independent contractor offering maintenance, repair, or property services through the platform
    • "Work Order" = Service request between a property manager/landlord and a vendor
    • "Vendor Marketplace" = Platform feature connecting property owners with independent service providers

    About Lease24:

    Lease24 is a rental marketplace and property management platform currently serving landlords and property managers in Ontario, Canada.

    Note: Other provinces will be added as legal and compliance frameworks are finalized.

    Important: We facilitate connections and provide software tools; we do not provide housing, make tenancy decisions, or offer legal, financial, or brokerage advice.

    LEGAL DISCLAIMER

    Lease24 is a technology platform only. We do not provide legal, financial, or tax advice. Provincial Residential Tenancy laws govern rental relationships, and users are responsible for understanding and complying with those laws. For legal questions, please consult a lawyer or your provincial tenancy authority.

    Eligibility:

    • You must be at least 18 years old to use our services
    • If acting for an organization, you have authority to bind that organization
    • You are not prohibited by law from using our services

    2. User Accounts & Responsibilities

    Account Registration:

    • You must provide accurate and complete information
    • One account per person (no duplicate accounts)
    • Keep your login credentials secure and confidential
    • Notify us immediately of any unauthorized access
    • You are responsible for all activity under your account

    Account Suspension & Termination:

    • β€’ We may suspend or terminate accounts for violations of these Terms
    • β€’ You may delete your account at any time
    • β€’ Outstanding obligations survive account termination

    3. Platform Services

    Rental Listings:

    • Landlords control the content of their listings
    • We do not verify all listing claims or representations
    • Listings must be accurate and not misleading
    • We may remove non-compliant or fraudulent listings
    • Featured/boosted listings are paid promotional placements

    Payments & Transactions:

    • Payment processing is handled by third-party payment processors
    • By making payments, you agree to the applicable payment processor's terms and conditions
    • We are not responsible for payment processor issues or delays
    • Refunds are subject to individual agreements between parties

    Messaging & Communications:

    • Platform messaging facilitates tenant-landlord communication
    • Keep all communications professional and respectful
    • We may monitor communications for safety and compliance purposes
    • Avoid sharing personal contact information for the purpose of bypassing platform features, fraud prevention measures, or safety protocols. Lease24 does not restrict lawful off-platform communication between tenants and landlords, but safety, documentation, and compliance functions may be lost when bypassing platform tools.

    AI Assistance:

    Lease24 may use AI tools to assist with tasks such as inquiry handling, message summaries, suggested replies, scheduling coordination, or workflow automation.

    • AI does not make final tenancy decisions
    • Users may request human review at any time when AI assistance is involved

    3A. Vendor Marketplace Services
    Important Liability Disclaimer

    CRITICAL DISCLAIMER

    Lease24 provides a marketplace platform connecting property managers with independent service providers (vendors). We are NOT an employer of vendors and do NOT guarantee their work.

    Marketplace Facilitation:

    • Lease24 provides a platform for property managers to find and connect with independent service providers
    • Vendors are independent contractors, NOT employees or agents of Lease24
    • We do NOT guarantee vendor availability, pricing, quality of work, or completion timelines
    • Vendors set their own prices, schedules, and service terms

    Vendor Selection & Vetting:

    • Your Responsibility: Users are solely responsible for selecting, vetting, and hiring vendors
    • "Verified" Badges: Indicate only that documentation was submitted, NOT quality assurance or background verification
    • Ratings & Reviews: User-submitted ratings are opinions; we do not verify their accuracy
    • Check Credentials: Always verify licenses, insurance, and references before authorizing work

    Work Orders & Service Agreements:

    • Work orders create agreements directly between users and vendors
    • Pricing, scope, timelines, and terms are negotiated between you and the vendor
    • Lease24 is NOT a party to vendor service agreements
    • Payment disputes and service issues must be resolved between parties
    LEASE24 IS NOT RESPONSIBLE FOR:
    • Quality, completeness, or timeliness of vendor work or services
    • Vendor conduct, reliability, professionalism, or communication
    • Property damage, injuries, or losses caused by vendor work
    • Injuries occurring during service delivery or on property premises
    • Disputes, disagreements, or conflicts between users and vendors
    • Payment issues, billing disputes, or pricing disagreements between parties
    • Vendor licensing status, insurance coverage, certifications, or legal compliance
    • Breach of contract by vendors or failure to complete work as agreed

    Insurance Requirements:

    • β€’ Vendors are strongly encouraged to maintain appropriate liability insurance
    • β€’ Users should verify vendor insurance coverage before authorizing any work
    • β€’ Lease24 does NOT verify or guarantee vendor insurance status or coverage amounts
    • β€’ Consider requiring proof of insurance documentation before starting projects

    Dispute Resolution:

    • Disputes between users and vendors must be resolved directly between the parties
    • Lease24 may, at its sole discretion, remove vendors who receive repeated serious complaints
    • Users may report vendor issues or safety concerns to support@lease24.io
    • Lease24 is not obligated to mediate, arbitrate, or resolve vendor-user disputes
    • Legal disputes should be handled through appropriate legal channels
    Recommendation: Always obtain written quotes, verify credentials, check references, and establish clear expectations in writing before authorizing any vendor work. Document all communications and agreements for your protection.

    3B. Vendor Service Agreement

    Vendor Agreement: By creating a vendor profile and offering services on Lease24, you agree to these additional terms.

    3C. Hiring Vendors - User Acknowledgment
    Critical Notice

    IMPORTANT: Please Read Carefully Before Hiring Vendors

    By using the vendor marketplace to hire service providers, you acknowledge and agree to the following terms.

    Independent Contractor Understanding:

    You understand and acknowledge that:

    • NOT Employees: Vendors are independent contractors, NOT employees of Lease24
    • Direct Hiring: You are hiring vendors directly; Lease24 is only the platform facilitator
    • No Employment Relationship: No employment, agency, partnership, or joint venture relationship exists between Lease24 and vendors
    • Independent Operation: Vendors control their own work methods, schedules, and business operations

    Your Due Diligence Requirements:

    Before hiring any vendor, you are responsible for:

    • Verify Credentials: Check licenses, certifications, and qualifications for the work you need
    • Request Proof of Insurance: Ask for and verify liability insurance coverage
    • Check References: Contact previous clients or review their work history
    • Get Written Quotes: Obtain detailed written quotes before authorizing work
    • Clarify Scope: Clearly define project scope, timelines, and deliverables in writing
    • Review Ratings: Read vendor reviews, but verify information independently
    Recommendation: Always request documentation and establish clear expectations before work begins.

    Assumption of Risk:

    You Accept Full Responsibility For:

    • Selecting and vetting vendors
    • Verifying vendor qualifications and credentials
    • Quality and completeness of vendor work
    • Any damage, injury, or loss resulting from vendor services
    • Payment terms and financial arrangements with vendors
    • Compliance with building codes, permits, and regulations

    Lease24 Provides the Platform ONLY and is NOT responsible for vendor work, conduct, or outcomes.

    Dispute Resolution Process:

    Step 1:

    Resolve Directly with Vendor

    Attempt to resolve issues directly and professionally with the vendor first

    Step 2:

    Document the Issue

    Keep records of communications, photos, contracts, and evidence

    Step 3:

    Report to Lease24 (Optional)

    If serious safety concerns or policy violations, report to support@lease24.io

    Step 4:

    Legal Action (If Necessary)

    Pursue legal remedies through appropriate channels (small claims court, trade associations, etc.)

    Note: Lease24 is not obligated to mediate, arbitrate, or resolve disputes between users and vendors. We may, at our discretion, suspend or remove vendors who receive serious or repeated complaints.

    Safety Recommendations:

    • βœ“ Request and verify insurance certificates before work begins
    • βœ“ Obtain written contracts specifying scope, price, and timeline
    • βœ“ Check vendor licenses with appropriate regulatory bodies
    • βœ“ Be present or have a representative present during work
    • βœ“ Document work progress with photos and written notes
    • βœ“ Obtain building permits where required by law
    • βœ“ Release final payment only after satisfactory completion

    4. Tenant Screening Services
    Important Disclosure

    IMPORTANT DISCLOSURE

    Lease24 facilitates tenant screening through third-party providers. The specific screening provider(s) used may change from time to time. We DO NOT make tenancy decisions.

    How Screening Works:

    • Tenant screening requires your express consent
    • Screening providers conduct background checks, credit checks, and other verifications
    • Results are provided to landlords, who make their own tenancy decisions
    • Third-party screening providers have their own privacy policies and terms

    Note: Screening providers may change from time to time. Lease24 may partner with one or more third-party screening services, and the specific provider used does not affect your rights or responsibilities under these Terms.

    Landlords are Solely Responsible For:

    • βœ“ Complying with applicable Human Rights legislation
    • βœ“ Making fair, non-discriminatory tenancy decisions
    • βœ“ Following provincial Residential Tenancy Act requirements
    • βœ“ Using screening results only for lawful purposes

    Your Rights:

    • You have the right to see your screening report
    • You may dispute inaccurate information
    • You may file complaints if you believe you've been discriminated against

    5. Acceptable Use Policy

    You agree NOT to engage in any of the following prohibited activities:

    ❌ Discriminatory Conduct

    • Post discriminatory listings or screening criteria
    • Refuse tenants based on protected grounds under Human Rights legislation
    • Use screening results to discriminate unlawfully
    • Engage in any housing discrimination prohibited by law

    ❌ Fraudulent Activity

    • Provide false or misleading information
    • Impersonate others or misrepresent your identity
    • Post fake listings, reviews, or testimonials
    • Engage in rental scams or fraudulent schemes

    ❌ Harmful Behavior

    • Harass, threaten, or abuse other users
    • Post illegal, offensive, or inappropriate content
    • Attempt to circumvent security measures
    • Use automated tools, bots, or scrapers

    ❌ Platform Abuse

    • Circumvent fees or payments owed to Lease24
    • Interfere with platform operation or other users' access
    • Violate intellectual property rights
    • Use the platform for unintended purposes
    Consequences: Violation of this Acceptable Use Policy may result in immediate account suspension or termination, removal of content, and potential reporting to relevant authorities.

    6. Human Rights Compliance
    Mandatory

    ANTI-DISCRIMINATION NOTICE

    All users must comply with applicable Canadian Human Rights legislation. Discrimination in housing is illegal in all Canadian provinces.

    Protected Grounds (vary by province, but typically include):

    βœ“Race, colour, ancestry, ethnic origin
    βœ“Religion or creed
    βœ“Sex, gender identity, sexual orientation
    βœ“Age
    βœ“Family status, marital status
    βœ“Disability (physical or mental)
    βœ“Receipt of public assistance
    βœ“Place of origin, citizenship
    Landlords: You may NOT refuse tenants based on these protected grounds. Violation may result in immediate account termination and reporting to Human Rights authorities.

    7. Intellectual Property

    Our Intellectual Property:

    Lease24 owns all intellectual property rights in the platform, including but not limited to:

    • Platform software, code, and technology
    • Lease24 logo, branding, and trademarks
    • Content we create (text, graphics, templates)
    • Design, layout, and user interface

    You receive a limited, non-exclusive license to use the platform for its intended purposes. You may not copy, modify, distribute, or reverse engineer our platform.

    Your Content:

    • You retain ownership of content you post (listings, photos, descriptions, reviews)
    • You grant Lease24 a license to use, display, and distribute your content on the platform
    • You warrant that your content doesn't infringe others' intellectual property rights
    • Lease24 may edit, restrict, or remove any content that violates these Terms, applicable law, or platform safety guidelines. This includes fraudulent listings, abusive content, or material that creates legal or security risk.

    8. Service Disclaimers

    IMPORTANT - PLEASE READ CAREFULLY

    ⚠️ "AS IS" Service

    The platform is provided "as is" and "as available" without warranties of any kind, express or implied.

    ⚠️ No Guarantee of Outcomes

    We do not guarantee you will find housing or tenants. Success depends on many factors outside our control.

    ⚠️ Not Legal/Financial Advice

    Nothing on Lease24 constitutes legal, financial, or tax advice. Consult appropriate professionals for advice.

    ⚠️ Third-Party Services

    We are not responsible for third-party services (screening providers, payment processors) or their errors.

    ⚠️ User Conduct

    We are not responsible for other users' actions, content, or decisions. Users act independently.

    ⚠️ Accuracy

    While we strive for accuracy, we do not guarantee all information is correct, complete, or current.

    9. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW:

    1. Cap on Damages

    Lease24's total liability for any claims arising from these Terms or your use of the platform shall not exceed the greater of:

    • Fees you paid to Lease24 in the 12 months prior to the claim, OR
    • $500 CAD

    2. Exclusion of Consequential Damages

    We are NOT liable for:

    • Indirect, incidental, special, or consequential damages
    • Loss of profits, revenue, data, or business opportunities
    • Lost housing opportunities or failed rentals
    • Emotional distress, inconvenience, or reputational harm
    • Damages resulting from third-party conduct

    3. Force Majeure

    We are not liable for delays or failures due to circumstances beyond our reasonable control, including but not limited to: natural disasters, pandemics, government actions, internet outages, cybersecurity incidents, third-party service provider failures, and regulatory changes.

    Note: Some provinces may not allow full limitation of liability. In such cases, our liability is limited to the minimum extent permitted by law.

    Indemnification

    You agree to indemnify and hold harmless Lease24 from claims arising from:

    • Your violation of these Terms
    • Your content, listings, or communications
    • Your violation of any law or third-party rights
    • Your rental transactions or tenant/landlord disputes
    • Your discriminatory conduct or illegal activities

    10. Dispute Resolution & Governing Law

    Tiered Dispute Resolution Process:

    STEP 1: Internal Resolution (Required First)

    Timeline: We will attempt to resolve within 30 days

    STEP 2: Mediation (If Step 1 Fails)

    Before litigation, parties agree to attempt mediation
    Location: Province where dispute arose
    Cost: Shared equally unless otherwise agreed

    STEP 3: Binding Arbitration (Disputes under $25,000 CAD)

    For disputes under $25,000, binding arbitration applies
    Rules: ADR Institute of Canada
    Location: Province where dispute arose

    STEP 4: Courts (Disputes over $25,000)

    Larger disputes or requests for injunctive relief may proceed to court

    SMALL CLAIMS EXCEPTION

    Either party may use Small Claims Court for eligible amounts, regardless of the above process

    Class Action Waiver

    To the extent permitted by law, you agree to bring claims against Lease24 only in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. This waiver does not apply where prohibited by applicable provincial law.

    11. Provincial Tenancy Law Compliance

    Lease24 is a platform that facilitates rental transactions. Our Terms of Service do NOT supersede provincial tenancy laws.Landlords and tenants must comply with applicable Residential Tenancy Acts.
